DVC Exercises Right of First Refusal (ROFR)

In 2024, Disney exercised their right of first refusal (ROFR) on 127 Disney Vacation Club (DVC) contracts. DVC Resale Market (DVCRM) sold 4,428 contracts in 2024, resulting in a 2.9% buyback rate (Contracts Bought Back in 2024/Contracts Sold in 2024). The 2024 waiver rate finished at 97.1%.

Key ROFR Updates

As we close out 2024, the Right of First Refusal (ROFR) “monster” took a much-needed holiday break. December saw only four contracts bought back—three for Old Key West and one for Animal Kingdom Villas. These numbers are some of the lowest we’ve seen this year and align with Disney’s ongoing strategy: using ROFR as a tool to replenish inventory and support direct sales promotions.

ROFR in 2024: A Recap

Looking back on 2024, the overall trend has been clear—Disney has used ROFR sparingly but strategically, targeting resorts tied to direct sales incentives or sold-out properties in high demand. Despite moments of higher activity (notably with Old Key West and Animal Kingdom Villas earlier this year), only 2.9% of all contracts were bought back in 2024.

Let’s put those odds into perspective:

  • Hitting a hole-in-one as an average amateur golfer: ~1 in 30
  • Catching a foul ball at a Major League Baseball game: ~1 in 35
  • Winning $100 on a $1 lottery scratch card: ~2-3%

In other words, the chances of your contract being taken by ROFR are low—and even if it happens, there will always be other contracts available to purchase.

What Does This Mean for 2025?

As we look ahead to 2025, there’s no reason to expect a dramatic shift in Disney’s ROFR strategy. If anything, it seems likely that Disney will continue to use ROFR selectively to complement its direct sales efforts, particularly at sold-out properties where inventory is needed to drive promotions.

For buyers, this means you can approach the market with confidence. While ROFR is always a possibility, the data shows it’s far from a common occurrence. If you do “win” or “lose” the ROFR lottery—depending on your perspective—rest assured, there will always be more contracts available for you to purchase.


What is Right of First Refusal (ROFR)?

For those new to the concept, Right of First Refusal is the option Disney Vacation Club has to purchase any resale contract after a sales price has been agreed upon, and the contract has been executed. Each contract must be forwarded to DVC for review.

DVC typically takes no more than 30 days to review the contract. At their discretion, Disney may step in and purchase the property themselves at the terms agreed upon by the seller and original buyer. DVC then becomes the buyer, and the purchase is complete. Once DVC is the buyer there is not an opportunity to come back with a better offer in hopes of still purchasing the contract.
