DVC Exercises Right of First Refusal (ROFR)

Year-to-date (YTD), Disney has exercised their right of first refusal (ROFR) on 48 Disney Vacation Club (DVC) contracts, and DVC Resale Market (DVCRM) has sold 2,518, resulting in a 1.9% buyback rate (Contracts Bought Back in 2024/Contracts Sold in 2024). The 2024 waiver rate is 98.1%.

Key ROFR Updates

This month marks the second consecutive month of double-digit ROFR activity, with Disney taking back 12 contracts between Old Key West (10) and Grand Floridian (2). Let’s dive into the details and analyze what this trend might indicate for the future!

Old Key West: Riding the Wave

As discussed in last month’s report, Disney’s aggressive push for Old Key West sales through direct incentives has led to significant buyback activity. These incentives were so successful that Disney temporarily ran out of points to sell at Old Key West, prompting them to use ROFR to replenish their inventory. This strategy appears to be continuing, with another notable number of Old Key West contracts being reacquired in June.

Future ROFR Activity: The Impact of Direct Incentives

The primary question we’re asking this month is whether there is a potential for increased ROFR activity at several other resorts due to Disney Vacation Club’s new direct incentive strategy. Following the success of the Old Key West promotion, Disney is now offering incentives on three additional sold-out properties: Animal Kingdom, Bay Lake Tower, and Saratoga Springs.

While the current incentives for Animal Kingdom, Bay Lake Tower, and Saratoga Springs are not as compelling as the previous Old Key West deal, they could still influence ROFR activity. If Disney sells a substantial number of points at these resorts over the next few months, we might see a rise in ROFR buybacks to bolster their reserves.

For buyers and sellers on the DVC Resale Market, these developments are worth a casual consideration. While we don’t expect any significant sudden changes in ROFR activity, if Disney expands its buyback practices to other resorts, it might impact availability and pricing on the resale market.


What is Right of First Refusal (ROFR)?

For those new to the concept, Right of First Refusal is the option Disney Vacation Club has to purchase any resale contract after a sales price has been agreed upon, and the contract has been executed. Each contract must be forwarded to DVC for review.

DVC typically takes no more than 30 days to review the contract. At their discretion, Disney may step in and purchase the property themselves at the terms agreed upon by the seller and original buyer. DVC then becomes the buyer, and the purchase is complete. Once DVC is the buyer there is not an opportunity to come back with a better offer in hopes of still purchasing the contract.
