DVC Exercises Right of First Refusal (ROFR)

Year-to-date (YTD), Disney has exercised their right of first refusal (ROFR) on 74 Disney Vacation Club (DVC) contract, and DVC Resale Market (DVCRM) has sold 2,113, resulting in a 3.5% buyback rate (Contracts Bought Back in 2025/Contracts Sold in 2025). The 2025 waiver rate is 96.5%.

Well, it looks like Disney Vacation Club might’ve read last month’s ROFR blog and decided to hit the brakes.

After a steady climb in buyback activity throughout the first part of the year, May slowed things down a bit. Only 11 contracts were bought back—down from 22 in April, and the lowest we’ve seen since January’s modest 9 buybacks. It’s a reminder that when it comes to ROFR, trends can shift quickly.

But the few contracts Disney did choose to repurchase this month point to a continued focus on the West Coast. Over half of May’s ROFR activity centered on Grand Californian, which now boasts a whopping 31% buyback rate for the year. That’s right—nearly 1 in 3 contracts sold for Grand Cal in 2025 have been intercepted by Disney.

Even more interesting? May marked the highest per-point buyback price for Grand Californian in the past year—$234 per point. Whether it’s to maintain resale value for the property, support Disneyland Hotel sales by keeping pricing aligned, or provide flexibility for direct offerings in California, DVC is clearly playing the long game here.

We also continue to see a small bump in Old Key West buybacks, with three contracts bought back in May. It’s still the cheapest option on the board for them to flip, so this may not be the last we see of OKW in ROFR reports this summer.

On the whole, though, May was a quieter month—and that’s something both buyers and sellers should keep in mind. As ROFR cools, it can signal more opportunity for buyers looking to land contracts without the fear of Disney swooping in.

What is Right of First Refusal (ROFR)?

For those new to the concept, Right of First Refusal is the option Disney Vacation Club has to purchase any resale contract after a sales price has been agreed upon, and the contract has been executed. Each contract must be forwarded to DVC for review.

DVC typically takes no more than 30 days to review the contract. At their discretion, Disney may step in and purchase the property themselves at the terms agreed upon by the seller and original buyer. DVC then becomes the buyer, and the purchase is complete. Once DVC is the buyer there is not an opportunity to come back with a better offer in hopes of still purchasing the contract.
